Details on this and more in today\u2019s ETtech Top 5.<\/p>\n<p><span class=\"subHead\">Also in this letter:<\/span><br \/>\u25a0 ET Explainer: What is VASA-1?<br \/>\u25a0 Razorpay\u2019s foray in UPI infrastructure<br \/>\u25a0 Mamaearth shares rally 8%<\/p>\n<hr style=\"border-bottom: solid 1px #979797; margin: 20px 0 14px;\" data-attr-sectionload=\"jsSectionLad_1\"\/>\n<p>Office-sharing startup Awfis gets Sebi nod for IPO<\/p>\n<div class=\"imageHolder\"><\/div>\n<p>Office-sharing startup Awfis Space Solutions has received Securities and Exchange Board of India\u2019s <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/technology\/office-sharing-startup-awfis-gets-sebi-nod-for-ipo\/articleshow\/109520811.cms\">clearance for an initial public offering (IPO).<\/a><\/p>\n<p><span class=\"subHead\">IPO details:<\/span> The Delhi-based company <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/startups\/peak-xv-partners-backed-office-sharing-startup-awfis-files-ipo-papers\/articleshow\/106210986.cms\">had filed its draft IPO papers in December<\/a>, proposing to raise Rs 160 crore through an issue of fresh shares, along with a sale of 10 million shares by its existing shareholders.<\/p>\n<p>The company plans to utilise the net proceeds from the fresh issue of shares for expansion and establishing new centres, working capital requirements and general corporate purposes.<\/p>\n<p><span class=\"subHead\">Who\u2019s selling: <\/span>Peak XV Partners plans to sell about 5 million shares in Awfis through the proposed IPO. Bisque Ltd, a unit of private equity firm ChrysCapital, is also looking to sell nearly as many shares, while real estate investment trust Link Investment Trust is seeking to sell over 75,000 shares.<\/p>\n<div class=\"imageHolder\"><img decoding=\"async\" class=\"artimg\" align=\"center\" style=\"width:100%;\" src=\"https:\/\/img.etimg.com\/photo\/msid-109536241\/Awfis shareholding.jpg\" alt=\"Awfis shareholding\" title=\"Awfis shareholding\"\/><\/div>\n<p>In its last fundraising round in 2022, Awfis was valued at around $110 million (Rs 917 crore at current exchange rates).<\/p>\n<p><span class=\"subHead\">FY23 numbers: <\/span>In the fiscal year ended March 31, 2023, Awfis\u2019 operating revenue more than doubled to Rs 545 crore from Rs 257 crore in FY22, as per its draft red herring prospectus. For the first quarter of fiscal 2024, Awfis reported operating revenue of Rs 188 crore.<\/p>\n<p><span class=\"subHead\">Upcoming IPOs: <\/span>Several new-age companies, including <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/startups\/unicommerce-files-draft-ipo-papers-softbank-acevector-b2-capital-to-sell-29-8-million-shares\/articleshow\/106598289.cms\" data-type=\"tilCustomLink\" target=\"_blank\" rel=\"noopener\">SoftBank-backed Unicommerce<\/a>, <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/technology\/ola-electric-files-draft-papers-for-ipo\/articleshow\/106218061.cms\" data-type=\"tilCustomLink\" target=\"_blank\" rel=\"noopener\">electric vehicle maker Ola Electric<\/a>, <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/startups\/firstcry-parent-files-ipo-papers-to-raise-rs-1816-crore-via-sale-of-new-shares\/articleshow\/106340725.cms\" data-type=\"tilCustomLink\" target=\"_blank\" rel=\"noopener\">omnichannel retailer FirstCry<\/a>, and <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/startups\/mobikwik-files-draft-papers-for-rs-700-crore-ipo-with-sebi\/articleshow\/106567299.cms\" data-type=\"tilCustomLink\" target=\"_blank\" rel=\"noopener\">fintech firm Mobikwik<\/a> have filed draft IPO papers with Sebi. Bengaluru-based food and grocery-delivery firm Swiggy is also planning to file soon <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/startups\/prosus-may-have-promoter-tag-in-swiggys-1-billion-ipo\/articleshow\/107061905.cms\" data-type=\"tilCustomLink\" target=\"_blank\" rel=\"noopener\">for a $1 billion IPO<\/a>.<\/p>\n<p><span class=\"subHead\">Also read | <\/span><a href=\"https:\/\/economictimes.indiatimes.com\/tech\/technology\/office-sharing-startup-awfis-gets-sebi-nod-for-ipo\/articleshow\/109520811.cms\">WeWork to sell 27% stake in India unit via Rs 1,200 crore secondary deal<\/a><\/p>\n<hr style=\"border-bottom: solid 1px #979797; margin: 20px 0 14px;\" data-attr-sectionload=\"jsSectionLad_2\"\/>\n<p>Investor group accuses Byju\u2019s of violating NCLT order<\/p>\n<div class=\"imageHolder\"><img decoding=\"async\" class=\"artimg\" align=\"center\" style=\"width:100%;\" src=\"https:\/\/img.etimg.com\/photo\/msid-109536272\/Byjus.jpg\" alt=\"Byjus\" title=\"Byjus\"\/><\/div>\n<p><em>Byju Raveendran, founder, Byju&#8217;s<\/em><\/p>\n<p>The National Company Law Tribunal (NCLT), Bengaluru, on Tuesday heard the latest arguments in the Byju\u2019s versus investors saga and <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/technology\/nclt-adjourns-hearing-in-byjus-rights-issue-case-to-june-6\/articleshow\/109532390.cms\">adjourned the matter for hearing on June 6<\/a>.<\/p>\n<p><span class=\"subHead\">What happened today?<\/span> The arguments began with a senior counsel on the investors\u2019 side alleging a violation on the part of Byju\u2019s with respect to an NCLT order dated February 27, which prevented the Bengaluru-based firm from allotting shares to investors as part of the disputed rights issue without procedurally increasing authorised share capital.<\/p>\n<p>The tribunal had also directed Byju&#8217;s to keep the proceeds from the $200 million rights issue in a separate escrow account. But Byju\u2019s did not do this, and instead used the funds, the investors\u2019 counsel alleged.<\/p>\n<p><span class=\"subHead\">Byju\u2019s stance: <\/span>Byju\u2019s counsel contended that its actions were performed in accordance with the law and did not violate the order as per its interpretation of the same.<\/p>\n<p>A group of Byju\u2019s investors led by Dutch investor Prosus is seeking to block a $200 million rights issue and the removal of founder Byju Raveendran as CEO of the edtech firm.<\/p>\n<div class=\"imageHolder\"><img decoding=\"async\" class=\"artimg\" align=\"center\" style=\"width:100%;\" src=\"https:\/\/img.etimg.com\/photo\/msid-109536321\/Byjus versus its shareholders.jpg\" alt=\"Byjus versus its shareholders\" title=\"Byjus versus its shareholders\"\/><\/div>\n<p><span class=\"subHead\">Zoom out: <\/span>Byju\u2019s, facing a severe cash crunch, <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/startups\/byju-raveendran-raised-debt-to-pay-march-salaries\/articleshow\/109498883.cms\">paid only a part of March salaries<\/a> to its employees, as of April 20, in yet another delay of these payouts. Here\u2019s a breakdown on what it\u2019s all about:<\/p>\n<p><span class=\"subHead\">What does the VASA-1 do?<\/span> Microsoft described VASA-1 as an AI model that produces \u2018lifelike audio-driven talking faces in real time\u2019. \u2018VAS\u2019 stands for visual affective skill.<\/p>\n<p>The AI model only needs a portrait photo and a speech audio track. The output is \u2018hyper-realistic\u2019 and can capture a large range of expressive facial nuances, it said, with precise lip sync and natural head motions.<\/p>\n<p>As an example, Microsoft provided a clip of Da Vinci\u2019s Mona Lisa portrait singing a rap song.<\/p>\n<p><span class=\"subHead\">Comparison with peers:<\/span> Similar lip sync and head movement technology is available from AI company Runway, Nvidia\u2019s Audio2Face AI application, Google\u2019s Vlogger AI launched in March, and Emo AI by China\u2019s Alibaba. \u201cIt (VASA-1) really beats everything else hands down,\u201d said Pawan Prabhat, cofounder, Shorthills AI.<\/p>\n<p><span class=\"subHead\">Deepfake concerns: <\/span>As with any video-generating AI model, observers flagged that VASA-1 makes it easier to create deepfakes and that there is potential for misuse. \u201cThe thing we can hope for is that companies, especially Big Tech, put in the right guardrails and safety mechanisms before general availability,\u201d said Jaspreet Bindra, founder, Tech Whisperer UK, a digital transformation and AI consulting firm.<\/p>\n<hr style=\"border-bottom: solid 1px #979797; margin: 20px 0 14px;\" data-attr-sectionload=\"jsSectionLad_4\"\/>\n<p>Razorpay forays into building UPI infrastructure, unveils \u2018UPI Switch\u2019<\/p>\n<div class=\"imageHolder\"><img decoding=\"async\" class=\"artimg\" align=\"center\" style=\"width:100%;\" src=\"https:\/\/img.etimg.com\/photo\/msid-109536460\/Razorpay FY23 results.jpg\" alt=\"Razorpay FY23 results\" title=\"Razorpay FY23 results\"\/><\/div>\n<p><em>Razorpay cofounders Harshil Mathur (left) and Shashank Kumar<\/em><\/p>\n<p>Digital payments platform Razorpay on Tuesday <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/technology\/razorpay-launches-upi-switch-in-partnership-with-airtel-payments-bank\/articleshow\/109532715.cms\">launched its own Unified Payments Interface (UPI) infrastructure<\/a>, or UPI Switch, in partnership with Airtel Payments Bank.<\/p>\n<p><span class=\"subHead\">What does it do? <\/span>The UPI Switch is designed to handle up to 10,000 transactions per second, at any given time, and enable five times faster access to UPI innovations for businesses. The company claimed that it resolves disputes seven times faster \u2014 within 24 hours against the industry average of seven days \u2014 as well as processes refunds instantly compared with the standard of up to three days.<\/p>\n<p><span class=\"subHead\">Tell me more:<\/span> The efficacy of UPI transactions relies heavily on the UPI infrastructure deployed by banks. The stock ended at Rs 338 on the BSE, up 8.51% from the previous day\u2019s close.<\/p>\n<p>Active ingredients-backed skincare brand <a href=\"https:\/\/economictimes.indiatimes.com\/tech\/startups\/the-derma-co-hits-annual-revenue-run-rate-of-rs-500-crore\/articleshow\/109489521.cms\">The Derma Co achieved an annual revenue run rate of Rs 500 crore<\/a>, driven by the creation of brands offering specialised products tailored for Indian skin and weather conditions, Honasa said on Monday.
